Delays caused by missing information or approvals may affect project timelines.
4. Payments & Fees
- All fees are outlined in written proposals or agreements
- Payments must be made according to the agreed schedule
- Late payments may result in service suspension or additional fees
- All payments are non-refundable unless otherwise stated in writing
Taxes, third-party tools, hosting, licenses, or subscriptions are not included unless explicitly specified.
5. Intellectual Property
- Upon full payment, the client is granted ownership or usage rights to the final delivered work as agreed
- Devcenz Technologies LLC retains the right to showcase completed projects in portfolios, case studies, and marketing materials unless otherwise agreed in writing
- Pre-existing tools, frameworks, or proprietary systems used by Devcenz Technologies LLC remain our intellectual property
6. Revisions & Scope Changes
Any requests beyond the agreed project scope may require additional fees and timeline adjustments. Revisions are limited to what is defined in the project agreement.
7. Third-Party Services
Our services may integrate or rely on third-party platforms (hosting providers, APIs, payment processors, plugins, or software). We are not responsible for outages, changes, or failures caused by third-party services.
8. Confidentiality
Both parties agree to maintain the confidentiality of any non-public business, technical, or financial information shared during the engagement, unless disclosure is required by law.
9. Disclaimer of Warranties
Our services are provided “as is” and “as available.” We do not guarantee specific business results, rankings, revenue, or performance outcomes. Technology results may vary based on market conditions and external factors.
10. Limitation of Liability
To the maximum extent permitted by law, Devcenz Technologies LLC shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.
Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.
11. Termination
Either party may terminate services with written notice as outlined in the project agreement. Upon termination:
- All outstanding fees become immediately due
- Work completed up to the termination date will be delivered as-is
- No refunds will be issued unless otherwise stated
12. Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.
13. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Updates will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
